| | The complaint charges AmeriCredit Corp. and its President, CFO and a former CEO with violations of section 10(b) and 20(a) of the Securities Exchange Act of 1934 and S.E.C. Rule 10b-5. AmeriCredit engages in the “indirect automobile financing” business by purchasing consumer loans from auto dealers and placing the loans in special purpose trusts which issue bonds secured by the loans in the trust. Cash flow from servicing the loans is retained in restricted accounts until the cash reserve reaches a certain amount, at which time the excess cash flows back to AmeriCredit, unless delinquent loans climb above a certain level. The complaint alleges that during the April 14, 1999 to January 15, 2003 Class Period, defendants misrepresented AmeriCredit’s financial performance by improperly deferring delinquent loans to avoid customer defaults. By limiting delinquencies, the complaint further alleges, AmeriCredit was able to gain access to the cash reserves – which normally remain in the restricted accounts to provide bond investors with a protective cushion against customer defaults – and defendants were able to report financial results that misrepresented the company’s actual financial performance. These misleading financial reports artificially inflated the price that investors paid for AmeriCredit stock. The complaint alleges that defendants’ scheme unraveled when analysts downgraded AmeriCredit stock in response to a company restructuring plan that acknowledged the need to raise additional capital and allow for a greater number of customer delinquencies. AmeriCredit stock subsequently fell 54% in one day after the company reported quarterly financial results which were negatively affected by a rising number of loan defaults. |
